Abstract
This paper analysed the perpetual succession in Limited liability partnership in Nigeria. The paper adopted doctrinal method of research. This paper is aimed at knowing the reasons why people may wish to partner in business ventures to further their economic interest to carry on business for gain under the Companies and Allied Matters Act (CAMA), 2020 Section 746 (1). A Limited liability partnership as a body corporate formed and incorporated under the Act is a legal entity separate from the partners. The paper analysed the title through introduction, the law regulating the creation, relationship, power, rights limitation and dissolution of partnership in general, concept of partnership, feature of limited liability partnership, perpetual succession, legal personality, dissolution of partnership, partnership agreement, contents of partnership agreement, observations and recommendations. The paper recommends the amendment of Section 746 (2) and 763 of CAMA 2020.
